General License Terms

1. Definitions

• "Platform" — BeatEmpire, an online beat marketplace.
• "Licensor" — the producer who uploaded the beat to the platform.
• "Licensee" — the buyer acquiring a license to use the beat.
• "Beat" — a musical composition (instrumental) listed on the platform.

2. Grant of License

• The Licensor grants the Licensee a non-exclusive (or exclusive, for Exclusive purchases) license to use the beat in accordance with the selected license type.
• The license takes effect upon payment confirmation and is perpetual.
• The license is non-transferable unless otherwise specified under exclusive terms.

3. Rights and Restrictions by License Type

Basic License:

• MP3 file of the beat is provided.
• Permitted for non-commercial use (demos, mixtapes, non-commercial streaming).
• Limited to 2,500 total streams/copies.
• Up to 1 (one) music video permitted.
• Prohibited: commercial use, radio broadcasting, for-profit performances.

Premium License:

• MP3 and WAV files of the beat are provided.
• Commercial use permitted (selling tracks, paid streaming platforms).
• Limited to 50,000 total streams/copies.
• Up to 5 (five) music videos permitted.
• Radio broadcasting on up to 2 (two) stations permitted.
• Prohibited: sublicensing, reselling the beat as-is.

Exclusive License:

• MP3, WAV, and Stems (trackouts) of the beat are provided.
• Full commercial rights with no limits on streams, copies, videos, or radio.
• The beat is removed from the platform after purchase.
• Previously issued non-exclusive licenses (Basic, Premium) for this beat remain valid for their holders.
• Permitted: commercial performances, sync licensing for video, radio, and TV.

4. Credit Requirement

• The Licensee must credit the Licensor in all works created using the beat (e.g., "prod. by [producer name]").
• Credit must appear in track metadata, streaming platform descriptions, and video credits.

5. Prohibitions

• Reselling, sublicensing, or distributing the beat in its original form (without added vocals or other creative contribution) is prohibited.
• Registering the beat as your own property is prohibited (except for derivative works under an Exclusive license).
• Using the beat in content promoting hate, violence, or discrimination is prohibited.

6. Refund Policy

• No refunds are available after file download, as delivery of the digital product is considered complete.
• In case of technical download issues, the Licensee may contact support for re-access.

7. Liability

• BeatEmpire acts as an intermediary and bears no responsibility for beat content, third-party copyright infringement, or disputes between Licensor and Licensee.
• The Licensor warrants that they are the rightful owner of the uploaded beat and have the right to license it.
• All disputes between Licensor and Licensee shall be resolved through negotiation. If unresolvable — in accordance with applicable law.

8. Changes to Terms

The platform reserves the right to modify these general license terms. Changes do not affect previously purchased licenses.
